Welcome to Heylp (“Heylp”, “we”, “us”, or “our”).
These Terms & Conditions (“Terms”) govern your access to and use of the Heylp website, platform, applications, tools, content, and services available through [www.heylp.com] (collectively, the “Platform”).
By accessing, browsing, registering on, or using the Platform, or by engaging with any professional through the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with our Privacy Policy, Cancellation Policy, and any other policies or guidelines displayed on the Platform.
If you do not agree with these Terms, please do not access or use the Platform.
1. ABOUT HEYLP
Heylp is a technology-enabled platform designed to facilitate connections between businesses, startups, entrepreneurs, and other users (“Clients” or “Users”) and independent professionals, consultants, experts, agencies, and service providers (“Professionals”).
Depending on the services available on the Platform, Professionals may provide services relating to:
contract drafting and review;
commercial agreements;
regulatory and compliance guidance;
business registrations;
licenses and registrations;
import/export-related guidance;
intellectual property-related services;
business operations and advisory services;
technology and automation services;
marketing or other professional services; and
other business-related services introduced on the Platform from time to time.
Unless expressly stated otherwise, Heylp is a technology platform and intermediary connecting Clients with independent Professionals.
Heylp does not automatically become a party to any professional engagement between a Client and a Professional merely because the engagement is initiated, facilitated, processed, or paid for through the Platform.
2. DEFINITIONS
For the purposes of these Terms:
2.1 “Client”
means any individual, founder, entrepreneur, company, partnership, LLP, proprietorship, startup, organisation, or other person using the Platform to obtain or seek professional services.
2.2 “Professional”
means an independent professional, consultant, advisor, lawyer, accountant, compliance professional, registration specialist, agency, freelancer, expert, or other service provider offering services through or in connection with the Platform.
2.3 “Services”
means the professional services offered by Professionals through the Platform and/or any technology-enabled services offered directly by Heylp.
2.4 “Platform”
means the Heylp website, applications, software, tools, forms, questionnaires, dashboards, communications systems, and related technology.
2.5 “User”
means any person accessing or using the Platform, including Clients and Professionals.
2.6 “Content”
means text, documents, images, graphics, logos, videos, information, data, templates, software, materials, reviews, communications, and other content made available through the Platform.
2.7 “Engagement”
means an arrangement between a Client and a Professional for the provision of Services.
2.8 “Order”
means a request placed by a Client for a particular Service.
3. ELIGIBILITY
You may use the Platform only if:
you are legally capable of entering into a binding agreement;
you are at least 18 years of age; and
your use of the Platform is not prohibited by applicable law.
If you are using the Platform on behalf of a company, LLP, partnership, organisation, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
Heylp may refuse registration or access to any person where reasonably necessary for security, compliance, operational, or legal reasons.
4. NATURE OF HEYLP'S PLATFORM
4.1 Marketplace / Technology Platform
Heylp operates as a technology-enabled platform facilitating discovery, communication, engagement, and transaction-related interactions between Clients and Professionals.
Unless expressly stated otherwise, Heylp does not itself provide every professional service listed on the Platform.
4.2 Independent Professionals
Professionals listed on Heylp are independent service providers.
A Professional is not automatically:
an employee of Heylp;
an agent of Heylp;
a partner of Heylp;
a joint venture partner of Heylp; or
an authorised representative of Heylp.
Nothing on the Platform shall be interpreted as creating an employment, partnership, fiduciary, agency, or joint venture relationship between Heylp and any Professional unless expressly agreed in writing.
4.3 No Guarantee of Professional Outcome
Heylp may take reasonable steps to verify certain information supplied by Professionals. However, verification does not constitute a guarantee, certification, warranty, or endorsement o the Professional's qualifications; experience; advice; work product and performance;
5. PROFESSIONAL SERVICES
Where a Client engages a Professional, the scope of work should be determined based on the relevant Order, proposal, statement of work, engagement terms, or other agreed documentation.
The Professional is responsible for:
understanding the Client's requirements;
providing the agreed Services;
communicating material limitations;
meeting agreed timelines, subject to reasonable exceptions;
maintaining professional standards applicable to their profession; and
complying with applicable laws and professional obligations.
Heylp does not control the manner in which a Professional performs professional Services.
6. AUTOMATED TOOLS AND QUESTIONNAIRES
Heylp may provide automated questionnaires, forms, recommendation tools, checklists, calculators, AI-enabled tools, or other technology intended to help Users identify potential requirements.
These tools are provided for general informational and operational assistance.
7. PROFESSIONAL VERIFICATION
Heylp may take reasonable steps to verify certain information supplied by Professionals. However, verification does not constitute a guarantee, certification, warranty, or endorsement o the Professional's qualifications; experience; advice; work product and performance.
No verification process can guarantee that all information supplied by a Professional remains accurate or complete at all times.
Heylp may suspend, restrict, or remove a Professional where it reasonably believes that the Professional has:
provided false information;
violated applicable law;
violated these Terms;
engaged in misconduct;
received material complaints;
failed to meet Platform standards; or
otherwise created a risk to Users or the Platform.
8. CLIENT RESPONSIBILITIES
The Client agrees to:
provide accurate and complete information;
provide documents reasonably required for the Services;
respond to reasonable requests for clarification;
review deliverables promptly;
inform the Professional of material facts;
make payments when due;
comply with applicable laws;
avoid requesting unlawful or unethical Services; and
use deliverables only for lawful purposes.
A Professional or Heylp shall not be responsible for an outcome adversely affected by inaccurate, incomplete, delayed, or misleading information supplied by the Client.
9. FEES AND PRICING
Fees displayed on the Platform may include one or more of the following:
Professional's service fee;
Heylp platform fee;
transaction or processing charges;
applicable taxes;
government fees;
third-party charges; and
other expressly disclosed charges.
The applicable price will generally be displayed before confirmation of an Order.
Prices may change from time to time. Any price change will generally apply to future Orders and will not retroactively modify a confirmed Order unless otherwise agreed.
10. TAXES
Unless expressly stated otherwise, applicable taxes, including GST or other taxes imposed by applicable law, may be charged in addition to the displayed fee.
Government fees, statutory charges, filing fees, stamp duty, registration charges, professional taxes, or third-party charges may also be payable separately where applicable.
Professionals are responsible for their own tax and statutory obligations arising from amounts received by them.
11. PAYMENTS
Payments may be processed through third-party payment service providers.
By initiating a payment, you authorise the applicable payment provider to process the transaction for the amount displayed or otherwise agreed.
Heylp does not store complete payment-card information unless expressly stated in the applicable Privacy Policy and subject to applicable law.
Payment failures may occur due to circumstances including:
insufficient funds;
bank restrictions;
payment gateway issues;
incorrect information;
network failures; or
security restrictions.
Heylp is not responsible for failures caused solely by third-party payment providers or financial institutions.
12. PAYMENT HOLD / RELEASE
Where Heylp provides a payment-hold or payment-release mechanism, the relevant amount may be retained temporarily in accordance with the applicable Platform process.
Such mechanism is intended to facilitate transaction administration and does not constitute a guarantee of the quality, legality, or satisfactory completion of Services.
Release of payment may occur upon:
Client approval;
expiry of a specified review period;
completion of agreed milestones;
resolution of a dispute; or
another event specified at the time of the transaction.
The specific payment process displayed at checkout or within the relevant Order will prevail where inconsistent with this general provision.
13. INTELLECTUAL PROPERTY
13.1 Heylp Intellectual Property
The Platform and its underlying technology, design, branding, software, databases, content, logos, trademarks, interfaces, processes, and materials are owned by or licensed to Heylp and are protected by applicable intellectual property laws.
Except as expressly permitted, Users may not:
copy;
reproduce;
modify;
distribute;
sell;
lease;
reverse engineer;
scrape;
reproduce the Platform's design;
create derivative works; or
commercially exploit
any part of the Platform without prior written permission.
13.2 Professional Work Product
Ownership and licensing of work product created by a Professional shall be governed by the applicable Engagement, Order, agreement, or applicable law.
Where no specific intellectual property provision exists, the Professional retains ownership of their pre-existing materials, methodologies, templates, know-how, and tools.
Any transfer or licence of intellectual property should be expressly agreed between the Client and Professional.
13.3 User Content
You retain ownership of content you submit to the Platform, subject to the rights necessary for Heylp to operate the Platform.
By uploading or submitting content, you grant Heylp a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, transmit, and display such content solely as reasonably necessary to:
operate the Platform;
provide requested Services;
facilitate communication;
process transactions;
maintain records;
provide customer support; and
comply with legal obligations.
14. COMMUNICATIONS
The Platform may facilitate communications between Clients and Professionals.
Communications may include:
messages;
email;
notifications;
calls;
documents;
proposals;
order updates; and
other transaction-related communications.
Users agree not to use Platform communications for unlawful, fraudulent, abusive, discriminatory, harassing, or deceptive purposes.
Heylp may retain communications where reasonably necessary for:
dispute resolution;
fraud prevention;
security;
compliance;
customer support; or
legal obligations,
subject to applicable privacy laws and Heylp's Privacy Policy.
15. DIRECT DEALINGS OUTSIDE THE PLATFORM
Users must not intentionally circumvent Heylp's applicable commercial mechanisms by using information obtained through the Platform to avoid applicable Platform fees or transaction arrangements.
Where Heylp introduces specific anti-circumvention provisions for a particular Service, those provisions will apply to the relevant transaction.
Nothing in this clause prevents Users from exercising rights that cannot lawfully be restricted.
16. THIRD-PARTY SERVICES
The Platform may integrate with or provide links to third-party services, including:
payment providers;
cloud storage providers;
communication providers;
government portals;
identity verification providers;
analytics providers; and
other technology providers.
Third-party services may have their own terms and privacy policies.
Heylp is not responsible for the availability, security, accuracy, or performance of third-party services except to the extent required by applicable law.
17. GOVERNMENT PORTALS AND REGULATORY AUTHORITIES
Where Services involve government registrations, filings, approvals, licences, permits, or applications, Heylp and/or the relevant Professional may assist with the process as agreed.
However, final decisions remain with the relevant government authority or regulatory body.
Heylp does not guarantee:
approval;
registration;
issuance of a licence;
processing time;
acceptance of an application;
outcome of an inspection; or
continuation of a government scheme or regulatory framework.
Government fees and requirements may change without notice.
18. PRIVACY
Your use of the Platform is also governed by Heylp's Privacy Policy. The Privacy Policy explains how Heylp may collect, use, store, process, disclose, and protect personal information. By using the Platform, you acknowledge that you have reviewed the Privacy Policy.
19. SECURITY
Heylp takes reasonable measures designed to protect the Platform and information processed through it.
However, no internet-based system can be guaranteed to be completely secure.
Users acknowledge that information transmitted over the internet may be exposed to risks beyond Heylp's reasonable control.
Users are responsible for maintaining appropriate security of their own devices, accounts, passwords, and systems.
20. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Platform and its general content are provided on an “as available” and “as is” basis.
Heylp does not warrant that:
the Platform will always be available;
information will always be accurate or complete;
the Platform will be error-free;
every Professional will be suitable;
Services will produce a particular outcome;
government applications will be approved; or
third-party services will operate without interruption.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
21. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Heylp shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses arising from or relating to:
use of the Platform;
inability to use the Platform;
actions or omissions of Professionals;
Client-Professional disputes;
professional advice;
business decisions;
loss of profits;
loss of business opportunities;
loss of data;
regulatory decisions;
government actions;
third-party services; or
events outside Heylp's reasonable control.
To the maximum extent permitted by law, Heylp's aggregate liability arising from a particular transaction shall not exceed the amount of fees actually retained by Heylp in connection with that transaction during the applicable period, except where such limitation is prohibited by law.
22. DISPUTES BETWEEN CLIENTS AND PROFESSIONALS
Heylp may provide a dispute-resolution or support mechanism for transactions conducted through the Platform.
However, unless expressly agreed otherwise, Heylp is not automatically a party to the underlying professional Engagement.
Clients and Professionals remain responsible for resolving disputes concerning:
quality of Services;
scope of work;
professional advice;
delays;
deliverables;
confidentiality;
intellectual property; or
payment,
in accordance with their applicable Engagement terms and applicable law.
Heylp may, at its discretion, assist with communication or administrative resolution but does not guarantee a particular dispute outcome.
23. USE OF TEMPLATES AND INFORMATIONAL MATERIAL
Heylp may make templates, articles, checklists, guides, FAQs, educational content, and other resources available.
Such materials are provided for general informational purposes unless expressly stated otherwise.
Templates may not be suitable for every transaction, industry, jurisdiction, or business structure.
Users should obtain professional advice where necessary before relying upon or executing a document.
24. COMPLAINTS
Users may contact Heylp regarding complaints relating to:
Platform functionality;
transactions;
Professional conduct;
payment issues;
account issues; or
other Platform-related matters.
Complaints should include sufficient information and supporting documentation to enable Heylp to investigate the matter.
Heylp may request additional information before taking action.
25. SUSPENSION AND TERMINATION
Heylp may suspend or terminate your access to the Platform if:
you breach these Terms;
you engage in fraudulent conduct;
you provide false information;
you misuse the Platform;
you fail to make required payments;
you create security risks;
you violate applicable law; or
Heylp reasonably believes suspension is necessary to protect Users, Professionals, Heylp, or the Platform.
You may stop using the Platform at any time.
Termination does not automatically extinguish obligations that by their nature are intended to survive termination.
26. CHANGES TO THE PLATFORM
Heylp may modify, suspend, discontinue, or replace any part of the Platform at any time.
Features may be added, removed, changed, or made available only to certain Users.
Heylp shall not be liable for modifications or discontinuation of Platform features to the extent permitted by applicable law.
27. CHANGES TO THESE TERMS
Heylp may update these Terms from time to time.
When material changes are made, Heylp may provide notice through the Platform, email, or another reasonable method.
The updated Terms will become effective on the date specified in the updated Terms.
Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms, subject to applicable law.
28. ELECTRONIC COMMUNICATIONS
By using the Platform, you consent to receiving electronic communications from Heylp regarding:
account activity;
Orders;
payments;
Service updates;
security;
customer support;
policy updates; and
other transactional matters.
Electronic communications may satisfy legal requirements where applicable.
Marketing communications may be managed in accordance with applicable law and available opt-out mechanisms.
29. FORCE MAJEURE
Heylp shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
war;
governmental action;
internet failures;
telecommunications failures;
cybersecurity incidents;
infrastructure failures; or
failures of third-party service providers.
30. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intended commercial purpose, where legally permitted.
31. WAIVER
Failure by Heylp to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.
32. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.
Subject to any mandatory statutory rights or dispute-resolution requirements, the courts located in [Jodhpur, Rajasthan], India, shall have jurisdiction over disputes arising from or relating to these Terms.
33. DISPUTE RESOLUTION
Before initiating formal legal proceedings, the parties should attempt to resolve disputes through good-faith discussions.
Where appropriate, Heylp may provide an internal complaint or escalation process.
If a dispute cannot be resolved amicably, the parties may pursue remedies available under applicable law.
Nothing in this provision prevents a party from seeking urgent interim or injunctive relief where legally available.

35. ACKNOWLEDGEMENT
By accessing or using Heylp, you acknowledge that:
you have read and understood these Terms;
you agree to comply with them;
you understand that Professionals may be independent service providers;
you understand that Heylp does not guarantee the outcome of professional Services;
you are responsible for the information and documents you provide;
you will use the Platform lawfully; and
you understand that specific Services may be subject to additional terms.
If you do not agree with these Terms, you must discontinue use of the Platform.
